- Board and committee composition issues.
- Account for adjustments required to comply with SEC regulations as well as any other relevant exchange listing regulations.
- Look for directors with varied backgrounds and expertise who can facilitate growth of a public company, enrich its culture, and provide both support and constructive challenge to the management team.
- Familiarize yourself early on with the criteria for independent directors and the transition rules that will come into effect following your IPO, since recruiting qualified directors can be a lengthy process.
- Create committees (as needed), and create or refine committee charters to conform to structure:
- Audit Committee.
- Compensation Committee.
- Corporate Governance Committee.
