Foley & Lardner LLP partner Louis Lehot commented in the Bloomberg Law article, “Moelis Arguments Threaten Founder Rights in Top Business Court.”
Lehot said that over the last two years, Delaware lawmakers have responded properly to address judicial intervention in decision making by corporate stakeholders.
It’s “absolutely relevant and necessary” for the Delaware state supreme court to do the same, he continued.
“There’s a nagging doubt that the judges in the Delaware Chancery Court are going beyond the four corners of the law to impose their own concepts of fairness and justice that go beyond the statute,” Lehot added.
