Foley Guides SunRoper Solar Partners in Construction to Term Debt Financing for Landmark Solar Project

Foley & Lardner LLP served as legal advisor to SunRoper Solar Partners LP, a joint venture between OCI Energy and Arava Power, in the successful construction to term financing for Project SunRoper, a 347 MWdc solar project in Wharton County, Texas.

Project SunRoper is being developed through a joint venture between OCI Energy and Arava Power, a pioneer in Israel’s solar energy sector, with ING Capital selected to underwrite the financing package which includes a construction-to-term loan, a tax bridge loan, and various letters of credit. ING serves as sole coordinating lead arranger, sole bookrunner, and sole green loan coordinator and will also act as administrative agent.

Project SunRoper will deliver critical clean energy capacity to one of the highest electricity-demand regions in Texas and the United States. The project is slated to begin commercial operation in Q3 2027 and is expected to support grid reliability, affordability, and emissions reduction.

The transaction builds on the existing relationship between OCI Energy and ING, following their prior collaboration on financing for the Alamo City Battery Energy Storage System. Foley served as legal counsel to OCI Energy in this previous financing which supports the flagship battery storage project currently under development in Bexar County, Texas.

The Foley financing team was led by partner Jocelyn Lavallo, senior counsel Rachel Conrad, and associates Jenny Gardner and Cameron Saneii, with key contributions from partners Nicholas Wendland and Ed Hammond.  Tax matters were handled by partner Adam Schurle and associate Jake Balducci.  The offtake arrangements were handled by partner John Dunlap, and the construction and supply contracts were led by partner Kyle Hayes and senior counsel Rocio Portela-Berrios.
