Foley Guides Brady Corporation in Acquisition of Honeywell’s Productivity Solutions and Services Business

Foley & Lardner LLP served as legal advisor to Brady Corporation (NYSE: BRC), a world leader in identification solutions, in its definitive agreement with Honeywell (Nasdaq: HON) to acquire Honeywell’s Productivity Solutions and Services (PSS) business.

The all-cash transaction, valued at approximately $1.4 billion, is subject to regulatory approvals and customary closing conditions and is expected to be completed in the second half of calendar year 2026.

PSS provides a comprehensive suite of hardware, software, and service offerings that enable high-volume, automated data collection and tracking for enterprise customers globally, with strong positions in mobile computers, barcode scanners, printing solutions, and voice guidance. The addition will expand Brady’s offerings in productivity and workflow solutions, broadening its reach with large enterprise customers and strengthening its portfolio of identification and tracking solutions across key end markets.

Foley’s transactions team was led by partners Jessie Lochmann and Spencer Moats with support from partner Craig Roush, senior counsels Arthur Vorbrodt and Chris Terris, and associates Sherwin Yee, Toni Neckopulos, Kameron Adams, and Jed Baranczyk.

Additional subject matter support was provided by partners Jordan Bergmann and David Morris (Tax), Heidi Furlong (Finance), Greg Neppl (Antitrust), Chris King (IP), Leigh Riley (Employee Benefits), Carmen Decot and Phil Phillips (Employment), Amanda Beggs (Environmental), Joshua Roling (Real Estate), Jennifer Urban (Technology Transactions), Gregory Husisian (International Trade), Ethan Lenz (Insurance), Erin Toomey and of counsel Sophie Lignier (Government Solutions), and senior counsel Tim Patterson (Distribution & Franchise).
