I represent clients in connection with transactions, corporate structure & governance, and litigation. For many clients, I serve in a trusted advisory capacity as outside general counsel. My practice focuses primarily, though not exclusively, in the sports, media, entertainment, and technology industries, with a particular emphasis lately on NFT and Web3 projects. I am a member of Foley’s Litigation, Transactions, and Employment Practice Groups. I work on the firm’s NFT Task Force and as Special Advisor to the Sports & Entertainment Group. I represent emerging growth companies in the context of business formation and structure, PE & VC fundraising, IP planning, auditing, protection and enforcement, C-Suite structure and contracting, and the legal side of public relations and crisis management.
I am passionate about solving problems in effective and creative ways. This may sound cliché in the context of legal work, but finding new solutions to difficult problems is an intellectual rush, regardless of the context. I particularly care about and am interested in new technologies, having co-founded and sold a Web2 e-commerce company in the early 2000’s, before the bubble burst and in the earlier days of my time as a practicing attorney.
I have more recently gone all-in on Web3, and NFT businesses in particular, regularly speaking on panels and webinars about blockchain issues, including a panel in connection with the inaugural NFT.BZL event in Miami in December 2021. I represent leading private equity investors in the NFT/Web3 industry generally, including NFT projects in the sports, entertainment and gaming space. My NFT practice also includes advising sports platforms, artists, musicians and NFT platforms in connection with partnerships, platform launches and NFT drops.
Emerging growth companies typically are on the cutting edge of industry, with a strong foundation but also facing impending challenges and opportunities that come with imminent growth. I always seek to import my experience as a general counsel, both in-house and as outside general counsel, to provide practical advice that accounts for the big picture and the business needs and strategies of management, without myopic focus on discrete issues without considering the broader context. Emerging growth companies present an opportunity for us to serve as trusted partners in helping to accomplish big picture goals.
Foley’s full service capabilities cover the gamut of subject matter and geographic needs that emerging growth companies, and clients generally, face. I have practiced at major national and international law firms, as in-house counsel for globally recognized brands, and as a solo/boutique practitioner, and Foley has a balanced blend of the benefits of all of these types of practice. There is generally not an issue or subject matter that Foley’s corps of attorneys worldwide are not qualified to advise about, but the ethos of the Firm includes a value proposition that major law firms generally miss. Our ranks, particularly in the Sports & Entertainment Group, include many attorneys who have previously served as in-house counsel, an uncommon characteristic for major law firms and one that bring a unique and client-centric perspective to our work.
My clients include professional sports teams and leagues, NFT platforms and artists, entertainment companies and artists in film and music, professional athletes, coaches, sports agents and executives, national public relations and crisis management firms, major marketing and talent agencies, private equity and venture capital firms, gaming companies, new technology ventures, start-ups, and other business ventures.
I am also passionate about music and the music business. When I am not in the office, I am often playing guitar, performing live, and recording, producing and distributing original music, and music videos.
