What due diligence preparation should be performed before going public?

Proper due diligence to prepare for an IPO includes:

  • Ensure all public information about the company is accurate and revised, as appropriate.
  • Ensure the accuracy of minute books and stockholder records.
  • Review charter, bylaws, and financing documents and contracts with existing stockholders.
  • Review all material agreements, including compensation agreements and equity grants.
  • Review all employment agreements.
  • Confirm appropriate authorizations and exemptions from SEC registration requirements.
  • Develop a data room and a plan for IPO legal and other due diligence.
